1. Definitions

For the purposes of these Terms & Conditions (“Terms”), the following definitions apply:

  • 1. Platform
    The Kitchain online service, including the website, user dashboards, modules, tools, and any related mobile or software solutions provided by the Company to match, connect, and manage interactions between Brands and Commercial Kitchens.
  • 2. Brand
    A restaurant or culinary concept with a registered or used trade name, menu, recipes, and preparation standards, publishing its offerings on the Platform for scaling and sales via connected Kitchens.
  • 3. Kitchen
    A commercial kitchen, restaurant, bar, or other food service establishment with production capacity, equipment, and licenses, connected to the Platform to prepare and ship orders on behalf of one or more Brands.
  • 4. Service
    Any action, feature, or service provided by the Company via the Platform, including but not limited to: matching and onboarding of Kitchens and Brands, AI-driven analytics, recipe standard provision, training, tech support, and payments.
  • 5. Content
    Any materials, data, images, texts, recipes, process sheets, videos, instructions, trademarks, and other objects published on the Platform by the Company, a Brand, or a Kitchen, including content protected by copyright or intellectual property rights.
  • 6. User
    Any person with access to the Platform, including representatives of Brands and Kitchens, as well as other persons using the Platform’s functions via registered or guest sessions.
  • 7. Account
    A unique user record created on the Platform, containing identification data, settings, and interaction history.
  • 8. License
    A limited, non-exclusive, non-transferable right to use the Platform and its functionalities under the scope and conditions set out in these Terms and/or separate agreements between the Company and the User.
  • 9. Agreement
    A legally binding contract between the Company and the User (Brand or Kitchen), including acceptance of offers, signed agreements, and these Terms of Use, governing access to and use of the Platform and Services.
  • 10. Confidential Information
    Any non-public information disclosed by one party to another, marked as confidential, including but not limited to business plans, commercial terms, recipes, internal processes, and reports.
  • 11. Integrations
    Third-party services and applications (e.g., Bitrix24, Cloudflare, payment processors, analytics systems) connected to the Platform to extend functionality and automate processes.

2. Scope of the Agreement

Kitchain provides Users with access to the Platform and related services for matching, connecting, and managing interactions between Brands and Kitchens, as well as related supporting services, including but not limited to:

  • Platform Access:
    Web interface and dashboards for Brands and Kitchens, tools for uploading, storing, and managing recipes, specifications, instructions, and media.
    Role-based permissions and account settings.
  • AI Matching:
    AI algorithms and analytics to assess compatibility between Brands and Kitchens (kitchen type, demand, ratings, capacity, competitive environment) and recommend optimal pairings considering geography and business goals.
  • Analytics & Reporting:
    Automated sales reports, quality metrics, KPI compliance, historical statistics, forecasting, and access to financial reports (subscriptions, royalties, commissions).
  • Onboarding & Launch:
    Document and license checks, workflow setup, recipe/media upload, and integration with third-party delivery aggregators.
  • Support & Maintenance:
    Technical support via feedback form, email, or other channels; consultancy on Platform usage; updates, bug fixes, and new feature releases.

3. Registration and Account Requirements

  • Users must be at least 18 years old.
  • Users must have the legal authority to represent a legal entity (if applicable).
  • All information provided must be accurate, complete, and up-to-date.
  • Users are responsible for maintaining the confidentiality of their login credentials.

4. User Obligations

Users shall not:

  • Engage in unlawful activities.
  • Distribute malicious software.
  • Use the Platform to compete with Kitchain without prior written consent.

5. Company Obligations

Kitchain will:

  • Maintain reasonable access to the Platform.
  • Correct technical issues in a timely manner.
  • Notify Users of material changes to the service.

6. Fees, Payment, and Taxes

  • Pricing may include fixed rates, subscriptions, or a percentage of sales.
  • Taxes are the responsibility of the User unless otherwise specified.
  • Kitchain may change rates by providing 30 days’ prior notice.
  • Refunds are only provided in case of billing errors; no refunds for services already delivered.

7. KYC / AML / Licensing Compliance

Kitchain may request documents at any time to verify identity, authority to act for a legal entity, and compliance with applicable laws, including KYC and AML regulations. Required documents may include:

  • Business registration certificates
  • Incorporation documents (Articles, Memoranda)
  • Authorisation documents (POA, appointment order)
  • Food production/sales licenses
  • Health & hygiene certificates (FS/HACCP, ISO)
  • Equipment lists and facility photos
  • Bank account details

Failure to provide required documents within the specified timeframe may result in refusal of registration, suspension, or termination of access. Kitchain processes these documents in accordance with its Privacy Policy and applicable laws (including GDPR, UK GDPR, PDPL).

8. Intellectual Property

  • Platform IP: All rights in the Platform code, design, text, and brand belong exclusively to Kitchain.
  • User Content: Users retain ownership of their content but grant Kitchain a non-exclusive, transferable, royalty-free licence to use, store, reproduce, adapt, and display such content within the Platform’s scope.

9. Confidentiality

Confidential Information will be handled in accordance with the Privacy Policy and applicable data protection laws.

10. Limitation of Liability

  • Kitchain shall not be liable for indirect, incidental, punitive, or consequential damages, including lost profits, data loss, or reputational harm.
  • Total liability in any case shall not exceed the total amount paid by the User to Kitchain for the Services in the 12 months preceding the event giving rise to the claim.
  • No liability for third-party provider actions, service outages, or force majeure situations.

11. Prohibited Uses

  • Unauthorised Access: No hacking, password guessing, or vulnerability scanning.
  • Malware: No virus, trojan, or DDoS attacks.
  • Fraud & Spam: No phishing, identity theft, or unsolicited mass messaging.
  • Resale: No sharing, selling, renting of accounts without consent.
  • Security Bypass: No disabling security mechanisms.
  • Competitive Activities: No copying for competitive services.
  • IP Infringement: No violation of IP rights.
  • Illegal Activity: No breach of applicable laws or food safety regulations.

Violations may lead to immediate termination and retention of any payments as damage compensation.

12. Third-Party Services and Integrations

The Platform may integrate with third-party tools and services (payment systems, CRMs, analytics platforms, delivery services, storage providers, mapping tools).
Kitchain is not responsible for their accuracy, availability, or performance.
Use is subject to each provider’s separate terms and privacy policies.

13. Changes to Terms

Kitchain may amend these Terms with 30 days’ notice, unless a shorter period is required by law or system urgency.

14. Termination

Accounts may be terminated by the User at any time or by Kitchain for violations of these Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
